Date Monday December 11, 2006
Time 6:30PM to 8:45PM
City East Palo Alto
Event Type Speaker / Panel / Round Table
Event Area Marketing
Hosted By Software Development Forum
Description Spend an hour and leave with a summary of key marketing insights
and some rules of thumb for successful innovation in Silicon
Valley. You might even identify one or two books that you haven't
read that will be worth your time over the Christmas holidays. We
will cover ten books that form the basis for conventional wisdom
on marketing in Silicon Valley. They provide the terms, the
metaphors, and the parables--in short the language--that
successful startups use to develop their plans and monitor their
execution. Some of these books are old, but still provide
succinct guidelines for new product introduction and sales.

Authors like Clayton Christensen, Geoffrey Moore, Peter Drucker,
and William Davidow provide a strategic framework for high
technology marketing; they explain how the world works. Steve
Blank's "Four Steps to the Epiphany", Doug Hall's "Jumpstart Your
Business Brain", Michael Gerber's "E-Myths Revisted" and the
"Blue Ocean Strategy" by W. Chan Kim and Renee Mauborgne offer
valuable perspectives on business; they explain how startup teams
need to view the world. Finally, Gerald Weinberg in "Secrets of
Consulting", Peter Cialdini in "Influence", and Al Ries and Jack
Trout in "The 22 Immutable Laws of Marketing" offer useful
insights and rules of thumb for how to influence and act as a
change agent for prospects.

Presenter

Description LBO Management Team Compensation: How to Woo the Best

Competition for top-flight management teams has grown ever more
intense. How can you attract the best and brightest without
bruising your ROI?

To tackle that question head-on, Dow Jones Private Equity Analyst
has assembled an all-star cast of compensation experts to lead a
90-minute virtual seminar detailing the latest strategies that
rival buyout firms are using to convince top managers to sign
(and stay) on.

Some of the questions you'll get answers to include: What should
the size of the management equity pool be? How much money should
management be required to invest? Over what period of time should
the equity grants vest? Should there be performance metrics
attached, and, if so, what kind of metrics are appropriate? What
are the advantages and disadvantages of setting up
profits-interest programs that replace traditional equity awards?

Guiding you through these critical issues:

- Lawrence K. Cagney, the chairman of the executive compensation
and employee benefits group at Debevoise & Plimpton, who assists
companies in designing compensation plans as well as with related
SEC reporting requirements and tax issues.

- Michael Nissan, a partner with Weil Gotshal & Manges LLP, who
focuses on executive compensation and related matters for senior
executives, management teams and employers.

- Peter Hornecker, a partner in the on-call advisory services
practice in Ernst & Young, who has extensive experience in
mergers and acquisitions, leveraged recapitalizations, joint
ventures, corporate restructurings, stock compensation
arrangements and other M&A related topics.

- Dave Barry, managing editor for Dow Jones Private Equity
Analyst, will moderate.

Additional topics to be covered during this interactive 90-minute
seminar include:

- Setting up a profits-interest program to provide tax advantages
to managers while keeping more equity for your firm
- Rolling over equity compensation when management already owns a
stake in the acquired company
- Ways to avoid large charges when paying non-recurring dividends
- Knowing when to expense stock options and when to account them
as liabilities
- How to determine and account the value of equity when awarding
stock options and profits-interests
- How to avoid questions of illegal back-dating when granting
stock options to new employees
- The likely impact of proposed tax rules governing deferred
compensation
- An overview of the SEC's latest compensation disclosure
requirements
- Why your portfolio companies may be subject to the SEC's new rules

Fees:

- Site License--$350

Registration includes one Internet connection, one telephone
connection at one location, one master set of handouts (with
permission to make additional copies for the participants at your

In the good old days, the exit of choice was the IPO on Nasdaq
or an M&A. With a lackluster public market in the USA, plus the
added cost to a company of complying with SOX ($2M & counting)
are other exit options looking more attractive?

Creative Exits What are the answers?
Option 1 - Get bought by Google/Yahoo/AOL/eBay or some other
megastar.
Option 2 - Head to Canada, Europe, India or Hong Kong & launch
an IPO there.
Option 3 - Take the company public through the reverse takeover
of an "over the counter" shell company.
Option 4 - Accept major funding from a hedge fund, which
promises to take the company public within 6 months.
Option 5 - Buyout by partner in business.
Option 6 - Franchise the business.
Option 7 - Position for acquisition by an industry leader.

" What are the megastars really looking for, how much are they
paying and what really are your chances?
" Are foreign IPOs viable, what are the costs & risks involved,
what types of companies are doing this today?
" Is a reverse takeover a smart thing to do, what are the costs
and risks involved?
" Acquisitions are by far the most common exit, what is the
feeling about this now?
